Article 1 – Definitions

In these general terms and conditions, the following definitions apply:

NU PUUR & GROEN B.V.
the private company NU PUUR & GROEN B.V., located at Kruittorenweg 2, 3441 AV Woerden, registered with the Chamber of Commerce under number 88716457 and VAT number NL864745230B01.

Customer
Any natural or legal person who enters into an agreement with NU PUUR & GROEN B.V.

Consumer
A natural person acting for purposes outside his business or professional activity.

Business customer
Any legal entity or natural person acting in the exercise of a profession or business.

Products
All goods offered by NU PUUR & GROEN B.V., including but not limited to:

  • artificial flowers;
  • artificial plants;
  • flower pots;
  • vases;
  • home decoration;
  • interior accessories;
  • furniture;
  • lighting;
  • other items from the assortment.

Agreement
Any agreement between NU PUUR & GROEN B.V. and the customer, regardless of how it is concluded.

Article 3 – Applicability

  1. These general terms and conditions apply to all offers, quotations, agreements, orders, and deliveries of NU PUUR & GROEN B.V.
  2. By placing an order, the customer declares to have taken note of these terms and conditions and agrees to them.
  3. Deviations from these terms and conditions are only valid if confirmed in writing by NU PUUR & GROEN B.V.
  4. The applicability of the customer's general terms and conditions is expressly excluded unless otherwise agreed in writing.
  5. If one or more provisions of these terms and conditions are nullified or annulled, the remaining provisions remain fully in effect.


Article 4 – Offer

  1. All offers are without obligation.
  2. Obvious mistakes, programming errors, pricing errors, or typographical errors do not bind NU PUUR & GROEN B.V.
  3. Images, colors, dimensions, and descriptions are composed with the greatest care but may differ from reality.
  4. Colors may vary due to screen or mobile device settings.
  5. Minor deviations in dimensions, color, material structure, or finish do not entitle the customer to dissolve the agreement or claim damages.
  6. If a product is temporarily unavailable, the customer will be informed as soon as possible.


Article 5 – Conclusion of the agreement

  1. An agreement is concluded after the customer has placed an order and it has been confirmed by NU PUUR & GROEN B.V.
  2. NU PUUR & GROEN B.V. reserves the right to refuse an order or impose additional conditions, for example in cases of:
  • suspected fraud;
  • incorrect personal data;
  • payment issues;
  • technical malfunctions;
  • obvious pricing errors.
  1. If an order cannot be fulfilled, the customer will be informed as soon as possible. Any amounts already paid will be refunded.
  2. NU PUUR & GROEN B.V. may use third parties for the execution of the agreement.

Article 6 – Prices

  1. All prices listed are in euros (€) and include the legally required VAT, unless explicitly stated otherwise.
  2. Shipping costs, surcharges, or other additional costs are clearly shown to the customer before completing the order.
  3. Because NU PUUR & GROEN B.V. delivers within multiple European countries, shipping costs may vary by country, product, size, and weight.
  4. Obvious price, printing, typesetting, or programming errors do not bind NU PUUR & GROEN B.V. If such an error occurs, NU PUUR & GROEN B.V. has the right to cancel the agreement. Any amounts paid will then be refunded immediately.
  5. Discount campaigns, promotions, and offers are only valid during the specified period and while supplies last.
  6. Discount codes are personal, non-transferable, and cannot be combined with other promotions unless otherwise stated.


Article 7 – Payment

  1. Payment must be made via one of the offered payment methods.
  2. NU PUUR & GROEN B.V. accepts – depending on the country of order – among others:
  • iDEAL
  • Bancontact
  • Apple Pay
  • Google Pay
  • Klarna
  • PayPal
  • Visa
  • Mastercard
  • American Express
  • Shop Pay
  • Blink
  • UnionPay
  • Link by Stripe
  • USDC (Stablecoin)
  • other payment methods offered during checkout.
  1. NU PUUR & GROEN B.V. reserves the right to add or remove payment methods.
  2. An order will only be processed after payment has been successfully received or authorized.
  3. If a payment is refused or reversed, NU PUUR & GROEN B.V. may suspend or terminate the agreement.
  4. Any costs arising from a failed payment or chargeback may be charged to the customer as far as legally permitted.


Article 8 – Delivery

  1. NU PUUR & GROEN B.V. delivers in the Netherlands and other European countries.
  2. Orders are carefully packaged and, in principle, shipped insured.
  3. For shipping, NU PUUR & GROEN B.V. uses professional carriers, including DPD. If necessary, another carrier may be used.
  4. Specified delivery times are indicative and do not constitute a strict deadline.
  5. Delay does not entitle the customer to compensation or termination of the agreement, unless otherwise stipulated by law.
  6. If an order is delivered in multiple parts, these can be shipped separately.
  7. If delivery temporarily proves impossible, the customer will be informed as soon as possible.


Article 9 – Receipt of the order

  1. The customer must check the order immediately upon receipt for visible damage or inaccuracies.
  2. If there is transport damage or an incomplete delivery, the customer is requested to report this as soon as possible, preferably within 48 hours of receipt, via nick@nupuurengroen.nl, accompanied by clear photos of:
    • the packaging;
    • the shipping label;
    • the damage;
    • the complete product.
  1. This notification period helps with quick handling with the carrier. Consumers' statutory rights remain fully in effect.
  2. Unpacking products must be done carefully. Damage caused by careless unpacking is not considered transport damage.


Article 10 – Retention of Title

  1. All delivered products remain the property of NU PUUR & GROEN B.V. until the customer has fully met all payment obligations.
  2. As long as ownership has not transferred, the customer may not pledge the products or provide them as security to third parties.
  3. If a payment is reversed or remains unpaid, NU PUUR & GROEN B.V. is entitled to reclaim the delivered products, as far as the law permits.


Article 11 – Right of Withdrawal

  1. Consumers have the right to cancel the agreement within 14 days after receiving the order without giving any reason.
  2. Within this period, the consumer must inform NU PUUR & GROEN B.V. via email or the model withdrawal form.
  3. After notification, the consumer has 14 days to return the products.
  4. The consumer must handle the product and packaging with care.
  5. Products must be returned – as far as reasonably possible – complete, unused, and in the original packaging.
  6. After correct receipt of the return shipment, the purchase amount will be refunded no later than 14 days via the same payment method used, unless otherwise agreed.


Article 12 – Exceptions to the Right of Withdrawal

The right of withdrawal does not apply to:

  • custom-made products; e.g., cushions for furniture
  • items specially ordered for the customer
  • products that by their nature cannot be returned;
  • sealed products whose seal has been broken after delivery, if they cannot be returned for hygienic reasons;
  • other products for which the law allows an exception.

For the standard products of NU PUUR & GROEN B.V., such as artificial flowers, artificial plants, and home accessories, the statutory right of withdrawal generally applies, unless a legal exception is applicable.

Article 13 – Warranty and Conformity

  1. NU PUUR & GROEN B.V. guarantees that the delivered products comply with the agreement, the reasonable expectations the customer may have, and the legal conformity requirements.
  2. All products are covered by the statutory warranty. This means that a product must meet what the consumer can reasonably expect from it.
  3. For business customers, only the warranties that have been agreed upon in writing or provided by the manufacturer apply.
  4. Minor deviations in color, texture, finish, size or material inherent to production processes or screen display do not constitute a defect.
  5. Warranty expires if a defect is the result of:
    • incorrect or improper use;
    • insufficient maintenance;
    • normal wear and tear;
    • assembly by the customer or third parties contrary to the instructions;
    • changes or repairs without the permission of NU PUUR & GROEN B.V.;
    • damage caused by external influences such as moisture, heat, frost, fire, impacts or falls.
  1. If a complaint is justified, NU PUUR & GROEN B.V. will, at its own discretion:
    • repair the product;
    • replace the product;
    • offer an appropriate price reduction;
    • refund the purchase amount if repair or replacement is not possible or reasonable.


Article 14 – Complaints

  1. We do everything we can to satisfy our customers. If you do have a complaint, we would like to hear from you.

  1. If possible, please provide:
    • order number;
    • name;
    • description of the complaint;
    • clear photos if applicable.
  1. NU PUUR & GROEN B.V. confirms receipt of a complaint as soon as possible.
  2. The customer will receive a substantive response within 14 days at the latest. If more time is needed, the customer will be informed.
  3. A complaint does not suspend the payment obligation, unless the law provides otherwise.


Article 15 – Liability

  1. The liability of NU PUUR & GROEN B.V. is limited to direct damage that is the direct result of a attributable shortcoming.
  2. Any liability is limited to a maximum of the amount paid for the relevant order, unless there is intent or deliberate recklessness.
  3. If liability insurance provides coverage, liability is limited to the amount actually paid out by the insurer.
  4. NU PUUR & GROEN B.V. is not liable for:
    • indirect damage;
    • consequential damage;
    • lost profits;
    • missed savings;
    • business stagnation;
    • damage caused by improper use of products.
  1. This limitation does not apply insofar as mandatory law provides otherwise.


Article 16 – Force Majeure

  1. Force majeure is understood to mean any circumstance beyond the control of NU PUUR & GROEN B.V. that reasonably prevents performance.
  2. This includes, among others:
    • war;
    • terrorism;
    • pandemics;
    • government measures;
    • strikes;
    • fire;
    • flooding;
    • extreme weather conditions;
    • cyberattacks;
    • internet outages;
    • power outages;
    • disruptions with payment providers;
    • problems with carriers;
    • delivery problems with suppliers.
  1. Obligations are suspended during force majeure.
  2. If force majeure lasts longer than 60 days, both parties have the right to terminate the agreement for the part not yet performed.


Article 17 – Intellectual Property

  1. All intellectual property rights related to the website, texts, photos, videos, logos, designs, illustrations, product descriptions, and other content belong to NU PUUR & GROEN B.V. or its licensors.
  2. Without prior written consent, it is not permitted to copy, publish, distribute, or commercially use these in whole or in part.
  3. The use of photos or texts for webshops, social media, advertisements, or AI training without permission is prohibited.
  4. In case of infringement, NU PUUR & GROEN B.V. reserves the right to claim damages and removal of the material.


Article 18 – Privacy

  1. NU PUUR & GROEN B.V. processes personal data in accordance with the General Data Protection Regulation (GDPR).
  2. Personal data is processed solely for:
    • the execution of agreements;
    • customer service;
    • shipping;
    • payments;
    • newsletters (with consent where required);
    • marketing;
    • analysis and improvement of the website.

Article 19 – Reviews

  1. Customers may be invited to leave a review.
  2. Reviews must not:
    • are offensive;
    • are discriminatory;
    • contain incorrect information;
    • are in violation of the law.
  1. NU PUUR & GROEN B.V. reserves the right to refuse or remove reviews if they do not comply with these terms.


Article 20 – Gift Vouchers and Discount Codes

  1. Gift vouchers are valid for the period stated on the gift voucher.
  2. Gift vouchers are not redeemable for cash, unless the law provides otherwise.
  3. Discount codes:
    • are personal;
    • can only be used once, unless otherwise stated;
    • cannot be combined with other promotions.


Article 21 – Applicable Law and Disputes

  1. All agreements are exclusively governed by Dutch law.
  2. The applicability of the Vienna Sales Convention (CISG) is excluded.
  3. Disputes are preferably resolved through mutual consultation.
  4. If this is not possible, disputes shall be submitted to the competent Dutch court, unless mandatory law provides otherwise.
  5. Consumers within the European Union may also make use of the out-of-court dispute resolution options designated by the European legislator, insofar as these are applicable.


Article 22 – Final Provisions

  1. NU PUUR & GROEN B.V. reserves the right to amend these general terms and conditions.
  2. For ongoing agreements, the version applicable at the time the agreement was concluded shall remain in effect, unless the law provides otherwise or the parties agree otherwise in writing.
  3. If any provision of these terms proves to be null or voidable, the remaining provisions shall remain fully in effect. The parties shall replace the invalid provision with a provision that approximates its purpose as closely as possible.
